1) Eligibility and account

1. You must be at least the age of majority in your jurisdiction (or have permission of a parent/guardian) to use the Service.
2. You are responsible for maintaining the confidentiality of your account and for all activity under your account.
3. You agree to provide accurate information and to keep your account information up to date.

2) Privacy Policy

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and share information. If there is a conflict between these Terms and the Privacy Policy on a data-handling issue, the Privacy Policy will generally control for that issue.

3) The Service and AI outputs

1. The Service provides resume parsing and analysis features that may produce automated outputs (scores, summaries, recommendations, etc.).
2. Outputs are generated by automated systems and may be inaccurate, incomplete, or unsuitable for your specific circumstances.
3. The Service does not provide legal, financial, or employment guarantees. You are responsible for how you use the outputs.

4) Acceptable use

You agree not to:

• Upload content you do not have the right to use or share.
• Upload illegal content or content that violates privacy, confidentiality, or intellectual property rights.
• Attempt to reverse engineer, scrape, overload, disrupt, or bypass security measures of the Service.
• Use the Service for unlawful, harmful, or fraudulent activity, including token abuse, chargeback abuse, or account sharing designed to avoid fees.
• Introduce malware or attempt unauthorized access to accounts, systems, or data.

We may suspend or terminate access if we believe you violated these Terms.

1. You may delete certain results or content through the Service.
2. Even if you delete content, you acknowledge and agree that we may retain copies of data and logs for business and legal purposes (including transaction auditing and token-usage proof) for up to five (5) years, as described in the Privacy Policy.
3. We may retain longer where required or permitted by law (e.g., legal holds, dispute resolution, compliance).

8) Service availability and changes

1. We may modify, suspend, or discontinue any part of the Service at any time.
2. We do not guarantee that the Service will be uninterrupted, error-free, or available at all times.
3. Maintenance, outages, provider failures, and network issues may occur.

9) Third-party services

The Service relies on third-party services and infrastructure, including:

• Google (sign-in)
• Google Firebase (storage/database)
• Groq (AI processing)
• Stripe (payments)

We are not responsible for third-party services, and your use of them may be governed by their terms.

10) Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.

We do not warrant that:

• The Service will meet your requirements.
• Outputs will be accurate or reliable.
• The Service will be secure or free from harmful components.

11) Limitation of liability

To the maximum extent permitted by law:

1. Resume Analyzer and RezPoint Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, goodwill, or business opportunities arising from or related to your use of the Service.
2. We are not liable for any loss, theft, unauthorized access, breach, alteration, unavailability, or destruction of data, including due to third-party actions, system failures, or events beyond our reasonable control.
3. If liability cannot be excluded, our total liability for all claims in any 12-month period will not exceed the total amount you paid to us for tokens in that period except where such limitation is prohibited by law.

Some jurisdictions do not allow certain limitations; in those cases, limitations apply only to the extent permitted.

12) Indemnification

You agree to defend, indemnify, and hold harmless Resume Analyzer and RezPoint Inc. from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service.
• Your User Content.
• Your violation of these Terms.
• Your violation of any law or third-party rights.

13) Termination

1. You may stop using the Service at any time.
2. We may suspend or terminate your access immediately if we believe you violated these Terms, used the Service fraudulently, or created risk or legal exposure for us.
3. Upon termination, tokens may be forfeited to the maximum extent permitted by law (especially in cases of fraud/abuse). Spent tokens remain non-refundable.

Sections that by nature should survive termination will survive (including license grant, disclaimers, limitation of liability, indemnity, and governing law).

14) Governing law and venue

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law rules.

You agree that any dispute arising out of or relating to these Terms or the Service will be brought in the courts located in Ontario, Canada, and you submit to their jurisdiction.

15) Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms and update the "Last updated" date. Continued use of the Service after updates means you accept the revised Terms.
